End User License Agreement

IMPORTANT — PLEASE READ CAREFULLY. This End User License Agreement ("EULA") is a legal agreement between you ("User," "you," or "your") and GoGlow AI ("GoGlow," "we," "us," or "our") for the use of the GoGlow mobile application and related services (the "Application").

By downloading, installing, or using the Application, you agree to be bound by the terms of this EULA. If you do not agree to these terms, do not download or use the Application.

This EULA incorporates Apple's Licensed Application End User License Agreement for App Store distribution. Apple Inc. is a third-party beneficiary of this EULA and may enforce its terms.

Subject to the terms of this EULA, GoGlow grants you a limited, non-exclusive, non-transferable, revocable license to:

3. Intellectual Property Rights

3.1 GoGlow's Rights

The Application, including all intellectual property rights therein (software, design, graphics, text, user interface, AI models, style presets, and all other elements), is and remains the exclusive property of GoGlow AI and its licensors. This EULA does not transfer any intellectual property rights to you.

3.2 Your Content

You retain ownership of the photos and images you upload to the Application ("Your Content"). By uploading Your Content, you grant GoGlow a limited, worldwide, royalty-free license to process Your Content solely for the purpose of providing the AI generation service to you.

3.3 Generated Content

AI-generated portraits and images created through the Application ("Generated Content") are licensed to you for personal use. Specifically:

4. Subscriptions and Purchases

4.1 Free Tier

GoGlow offers a free tier with limited functionality. You may use the free tier subject to usage limits that GoGlow may modify at its discretion.

4.2 Paid Subscriptions

GoGlow offers paid subscription plans that provide additional features and credits. Subscriptions are billed through the applicable app store (Apple App Store or Google Play Store) according to your chosen plan (weekly, monthly, or annual).

4.3 Auto-Renewal

Subscriptions automatically renew unless cancelled at least 24 hours before the end of the current billing period. You can manage and cancel subscriptions in your App Store account settings.

4.4 Refund Policy

All purchases are final and non-refundable except as required by applicable law. Refund requests for App Store purchases must be submitted to Apple. Refund requests for Google Play purchases must be submitted to Google. GoGlow may, at its sole discretion, provide refunds on a case-by-case basis.

4.5 Price Changes

GoGlow reserves the right to change subscription prices. We will provide reasonable notice of price changes before they take effect.

The Application may use or integrate with third-party services, including but not limited to:

THE APPLICATION IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND COURSE OF PERFORMANCE.

GoGlow does not warrant that:

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL GOGLOW AI, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:

GOGLOW'S TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATED TO THIS EULA OR YOUR USE OF THE APPLICATION SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO GOGLOW IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) $100 USD.

9. Indemnification

You agree to indemnify, defend, and hold harmless GoGlow AI and its officers, directors, employees, agents, and licensors from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to: (a) your violation of this EULA; (b) Your Content; (c) your use of the Application; or (d) your violation of any applicable law or the rights of any third party.

10. Termination

This EULA is effective until terminated. Your rights under this EULA will terminate automatically without notice if you fail to comply with any of its terms. Upon termination:

GoGlow may also terminate this EULA at any time for any reason by providing notice to you or discontinuing the Application.

11. Governing Law and Dispute Resolution

This EULA shall be governed by and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law provisions.

Any dispute arising from this EULA or your use of the Application that cannot be resolved through informal negotiation shall be submitted to binding arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules. Arbitration will take place in San Francisco, California, or via videoconference.

Class Action Waiver: You waive any right to participate in class action lawsuits or class-wide arbitration against GoGlow.

Notwithstanding the above, GoGlow may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent infringement of intellectual property rights.
